Service Agreement

In order to use the application for iPhone/ iPad (“Application”) provided by Recruit Co., Ltd. (“Recruit”), you need to execute the agreement for the services provided below (“Agreement”). Please do not use the Application without such execution. Please note that Recruit may modify the Agreement anytime at its discretion. Therefore, please confirm the latest version of the Agreement displayed on the Application when you use it.

1. Upon your clicking of “Download,” Recruit will grant a license to you in relation to the Application, and you will obtain a right to download and/or install the Application. You agree that Recruit may terminate the license anytime at its discretion.

2. You shall pay the amount indicated as “Price” for the Application on the page where the above “Download” button is shown to Recruit in consideration of the above license (“Fees”)(tax included). Once paid, the Fees are not refundable for any reason. You agree that Apple Japan Kabushiki Kaisha and its group businesses/subsidiaries (collectively, “Apple”) will collect the Fees on behalf of Recruit in accordance with the terms and conditions set by Apple. If you pay by credit card, you will be charged by your credit card company.

3. You agree that Recruit will not issue a receipt for your payment of the Fees since your payment is made through Apple or by credit card.

4. You agree that Apple will provide Recruit with your name, address, telephone number, your outstanding information, etc., if your payment set by Apple is overdue. Furthermore, in the event that your payment set by Apple is overdue or that you breach the Agreement, Recruit may suspend your use of the Application.

5. You may not sell, rent, lease, sublicense, assign, alter, translate, reverse-engineer, decompile, or disassemble the Application or any part thereof without the consent of Recruit. You may download, install, use or duplicate the Application only for your use of the Application.

6. You agree that the copyright and any other rights with regard to the Application remain vested in Recruit. You shall keep your use of the Application within personal use. You shall not use the Application for any commercial purpose.

7. Recruit shall not be responsible for providing any upgrades or support services in relation to the Application. However, at its discretion, Recruit may provide upgrades of the Application, information in relation to the upgrades, or support services. In that case, the Agreement will be applicable to the upgrades of the Application.

8. Recruit shall not be responsible for altering or modifying the Application in the event that the Application is not compatible with your device, equipment or software.

9. Recruit shall not be liable for any damages incurred due to a lower display speed caused by overloaded access or other unexpected reasons or any other obstacles.

10. You agree in advance that you will be unable to use the Application in the event that the API service which composes the Application becomes unavailable for any reason. Recruit shall not be liable for any damages which result from your unavailability to use the Application.

11. Recruit does not warrant the accuracy, completeness, fitness for a particular purpose, usefulness, legality or non-infringement of third party rights with regard to the Application

12. Recruit shall not be liable for any damages incurred due to your use of the Application unless such damages are caused by Recruit's gross negligence or willful misconduct. Recruit's liability shall be limited with respect to direct and ordinary damages and in no event shall they exceed the amount of the Fees received by Recruit.

13. You shall not transfer or assign to a third party any of your rights or authority related to the Application.

The Agreement shall be governed by, and construed and interpreted under the laws of Japan. You and Recruit hereto agree that all lawsuits in respect of the Application shall be exclusively brought forward in the Tokyo District Court of Japan.
Please note that the Agreement is an English translation of the original Japanese version and that the Japanese version shall prevail in the event of any inconsistencies or discrepancies therein.
